These Terms & Conditions ("Terms") govern your access to and use of all webpages, content, and services (collectively, "Site") provided by Gaussian Pte. Ltd. and its affiliates ("Gaussian," "we," "our," or "us"). By accessing or using the Site, you agree to be bound by these Terms and all applicable laws and regulations. If you do not accept every provision, you must not use the Site.
1. Permitted Use
1.1 Informational Purposes Only. The Site is provided solely to convey general information about Gaussian's products and services. No part of the Site constitutes professional advice or an offer to sell software or securities.
1.2 Acceptable Conduct. You agree not to: a. scan, probe, or test the vulnerability of any Gaussian system; b. interfere with or disrupt the Site or networks connected to the Site; c. introduce viruses, worms, or other malicious code; d. reverse-engineer, decompile, or disassemble any portion of the Site; e. use the Site to transmit defamatory, obscene, or infringing material; f. violate any applicable export controls or sanctions regimes.
2. Intellectual Property
2.1 Ownership. All content on the Site—including text, graphics, logos, software, and compilations—is the exclusive property of Gaussian or its licensors and is protected by Singapore, Australian, Indonesian, and international intellectual-property laws
2.2 Limited License. Gaussian grants you a non-exclusive, non-transferable, revocable license to access and display the Site for personal or internal business use, subject to these Terms. You may not reproduce, distribute, or create derivative works without Gaussian's prior written consent.
3. Privacy & Data Security
3.1 Your submission of personal data through the Site is governed by our Privacy Notice, which is incorporated into these Terms by reference.
3.2 Gaussian employs industry-standard administrative, technical, and physical safeguards to protect information; however, no internet transmission or storage system can be guaranteed 100 % secure.
4. Third-Party Links
The Site may contain links to third-party sites or resources. Gaussian is not responsible for, and does not endorse, any third-party content or services. Accessing such links is at your own risk.
5. Disclaimer of Warranties
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." GAUSSIAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GAUSSIAN DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAUSSIAN, ITS OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION—ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF GAUSSIAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GAUSSIAN'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SITE SHALL NOT EXCEED USD 100.
7. Indemnification
You agree to defend, indemnify, and hold harmless Gaussian from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms or your misuse of the Site.
8. Governing Law & Dispute Resolution
These Terms and any dispute arising under them are governed by the laws of the Republic of Singapore, without regard to conflict-of-laws principles. You consent to the exclusive jurisdiction of the Singapore courts. Gaussian may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information
9. Modifications
Gaussian reserves the right to modify or replace these Terms at any time. Changes become effective upon posting to the Site. Your continued use after changes are posted constitutes acceptance of the revised Terms.
10. Termination
Gaussian may suspend or terminate your access to the Site, with or without notice, for any conduct that Gaussian, in its sole discretion, believes violates these Terms or is otherwise harmful to Gaussian or third parties.
11. Entire Agreement
These Terms, together with our Privacy Notice and any additional legal notices posted on the Site, constitute the entire agreement between you and Gaussian regarding the Site and supersede all prior or contemporaneous communications.
